Confidentiality Policy

During the course of your use of the Learning Console, you may receive information relating to Amazon or to the Learning Console that is not known to the general public ("Confidential Information"). You agree that: (a) all Confidential Information will remain Amazon's exclusive property; (b) you will use Confidential Information only as is reasonably necessary for your participation in the Learning Console; (c) you will not otherwise disclose Confidential Information to any other person; and (d) you will take all reasonable measures to protect the Confidential Information against any use or disclosure that is not expressly permitted under this Policy.

Accreditation Program Policy

These Amazon Advertising Accreditation Program Guidelines (“Program Guidelines”) govern your participation in the Amazon Advertising Accreditation Program (the “Program”). As used in these Program Guidelines, “You” and “your” means the individual Learning Console learner.

1. Participation in the Program

1.1. Generally. To obtain an Amazon Advertising Accreditation (“Accreditation”) and participate in the Program, you must (a) take the applicable Accreditation Assessment(s) and receive a passing score as determined by Amazon, and (b) adhere to all laws, rules, and regulations applicable to the Program, including these Program Guidelines (collectively with (a), the “Accreditation Requirements”). Accreditation through this Program will only be issued to individual Learning Console learners who meet the Accreditation Requirements. Third parties, including but not limited to your employer, representative, associate, or agent, are not entitled to the rights granted to you under these Program Guidelines.

1.2. Use of Name and Logo. Subject to these Program Guidelines and your completion of and continued compliance with the applicable Accreditation Requirements, we grant you a limited, revocable, non-transferable, non-sublicensable, non-exclusive, royalty-free license to display the name of the specific Accreditation and any related trademarks, service marks or trade names, logos, or other designations of Amazon that we make available to you in connection with the Program (together, the “Marks”) on your website and in your materials (e.g., in any printed material, mailing or other document, or social media channels, including but not limited to Facebook, LinkedIn, Twitter, and Instagram) solely to identify your successful completion of the Accreditation Requirements. For avoidance of doubt, Amazon may revoke the foregoing license at any time for any reason. You may only use the Marks in accordance with the Trademark Use Guidelines attached hereto as Schedule A, as those guidelines may be updated from time to time, and any other applicable guidelines that we make available. You may not identify yourself as an “expert” in relation to Amazon or Amazon Advertising. Any use of the Marks outside the scope of the foregoing license requires Amazon’s prior written permission. You will not modify or create derivative works of the Marks. Amazon retains ownership of the Marks. You may not use the Marks to disparage Amazon or the Program or in a manner which Amazon determines may diminish or otherwise damage or tarnish Amazon’s goodwill in the Marks. All goodwill arising from your use of the Marks will inure to Amazon’s benefit. Any license granted to you in these Program Guidelines will immediately and automatically terminate if you do not comply with any term or condition of these Program Guidelines or if you fail to comply with the Accreditation Requirements.

1.3. Your Responsibilities. At all times when you are holding yourself out as the recipient of an Accreditation or otherwise participating in the Program, you will (a) conduct your activities in a professional and competent manner; (b) comply with all applicable laws, regulations and orders of any governmental or regulatory authority; (c) promote Amazon Advertising in a manner that maintains the good name and reputation of Amazon Advertising; (d) not make any representations, warranties, or guarantees to third parties with respect to Amazon Advertising or the specifications, features, or capabilities of any Amazon Advertising product or service; (e) not misrepresent or embellish your relationship with Amazon Advertising; and (f) not engage in any illegal, false or deceptive acts or practices.

2. Testing.

2.1. Procedures. You will comply with all rules and regulations applicable to the administration of the Accreditation Assessment as set forth by Amazon Advertising. You will not engage in any misconduct in connection with any Accreditation Assessment, including without limitation: (a) receive or provide unauthorized assistance, or submitting work that is not your own; (b) possess or use unauthorized materials during any Accreditation Assessment; (c) falsify your identity or identification documents, or misuse any testing identification number, username, or other credentials that have been provided to you; (d) fail to adhere to any testing policy, procedure, or directions; (e) disclose or disseminate the content of any Accreditation Assessment; (f) use any Marks in a manner not authorized by these Program Guidelines and the Trademark Use Guidelines; or (g) any other actions that we believe in our sole discretion are inconsistent with the principles of the Program.

2.2. Confidentiality. You agree that all Testing Materials are Amazon’s Confidential Information. You will not disclose, reproduce, copy, transmit, distribute, or make derivative works of any Amazon Confidential Information.

2.3. Noncompliance. You agree that if for any reason we believe that you have violated the terms of these Program Guidelines, we may in our sole discretion cancel the results of any Accreditation Assessment, revoke any Accreditation, terminate your rights under these Program Guidelines, and/or otherwise prohibit you from participating in the Program.

3. Indemnification.

You will defend, indemnify, and hold harmless us, our affiliates and licensors, and each of our and their respective employees, officers, directors, representatives, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to any third party claim concerning: (a) your participation in the Program; (b) your use of any Marks in a manner not authorized by these Program Guidelines; (c) any representations, warranties, or guarantees you make to third parties with respect to Amazon Advertising or the specifications, features, or capabilities of any of the Amazon Advertising services; (d) any misrepresentation or embellishment by you of your relationship with Amazon Advertising; (e) your actual or alleged breach of these Program Guidelines or violation of applicable law; or (f) a dispute between you and any third party. You will not settle any claim without our prior written consent (which will not be unreasonably withheld or delayed). We may assume control of the defense and settlement of the claim at any time.

4. Miscellaneous.

4.1. Publicity. You will not misrepresent or embellish the relationship between us and you (including by expressing or implying that we support, sponsor, endorse, or contribute to you or your business endeavors), or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by these Program Guidelines.

4.2. Independent Contractors; Non-Exclusive Rights. We and you are independent contractors, and neither party, nor any of their respective affiliates, is an agent of the other for any purpose or has the authority to bind the other.

5. Definitions.

“Accreditation Assessment” means the exam that you must pass to receive a particular Accreditation.

“Amazon Advertising” means each of the digital advertising products and services made available by us or our affiliates.

“Amazon Confidential Information” means all nonpublic information disclosed by us, our affiliates, business partners, Accreditation Assessment Providers, or our or their respective employees, contractors or agents that is designated as confidential or that, given the nature of the information or circumstances surrounding its disclosure, reasonably should be understood to be confidential. Amazon Advertising Confidential Information includes: (a) all nonpublic information relating to the Program or the Accreditation Assessments; (b) all Testing Materials; and (c) third-party information that we are obligated to keep confidential.

“Testing Materials” means the Accreditation Assessment and any other materials that are provided to you in connection with an Accreditation Assessment (which may include instructions, study materials, exam questions, or other content).

Learning Console Milestone Awards

Amazon may provide you a badge in the learning console to recognize completion of certain learning paths (the “Badge”). Badges are intended to help you keep track of your status with respect to completion of the learning paths we make available in the learning console. You may not display Badges on your website and in your materials (e.g., in any ad, printed material, mailing or other document, or on social media channels like Facebook, LinkedIn, Twitter, and Instagram) in any manner, including to promote your services or successful completion of any Program under these Program Policies.

SCHEDULE A

Trademark Usage Guidelines

These Guidelines apply to your use of the Marks (as defined in the Amazon Advertising Accreditation Program Guidelines). Strict compliance with these Guidelines is required at all times, and any use of the Marks in violation of these Guidelines will automatically terminate any license related to your use of the Marks.

  1. You may use the Marks solely for the purpose expressly authorized by Amazon and your use must: (i) comply with the most up-to-date version of all agreement(s) with Amazon regarding your use of the Marks (collectively “Agreements”); (ii) comply with the most up-to-date version of these Guidelines; and (iii) comply with any other terms, conditions, or policies that Amazon may issue from time to time that apply to the use of the Marks.
  2. We will supply an image or images of the Marks for you to use. You may not alter the images of the Marks in any manner, including but not limited to, changing the proportion, color, or font of the Marks, or adding or removing any element(s) from the Marks.
  3. You may not use the Marks in any manner that implies sponsorship or endorsement by Amazon other than by using the Marks as specifically authorized under the Agreements.
  4. You may not use the Marks to disparage Amazon, its products or services, or in a manner which, in Amazon’s sole discretion, may diminish or otherwise damage or tarnish Amazon’s goodwill in the Marks.
  5. The Marks must appear by themselves, with reasonable spacing between each side of a Mark and other visual, graphic or textual elements. Under no circumstance should the Marks be placed on any background which interferes with the readability or display of the Marks. Do not use trademark symbols with the Marks.
  6. Unless otherwise instructed by Amazon, you must include the following statement in materials that display the Marks: “Amazon Advertising and all related logos are trademarks of Amazon.com, Inc. or its affiliates."
  7. You acknowledge that all rights to the Marks are the exclusive property of Amazon, and all goodwill generated through your use of the Marks will inure solely to the benefit of Amazon. You will not take any action that is in conflict with Amazon’s rights in, or ownership of, the Marks.

Amazon reserves the right, exercisable at its sole discretion, to modify these Guidelines and/or the approved Marks at any time and to take appropriate action against any use without permission or any use that does not conform to these Guidelines.
